Lorna Richardson, Lecturer in Commercial Law at Edinburgh University
What role for commercial common sense in interpreting contracts?

Lorna Richardson will examine this thorny issue which has arisen for consideration in recent Supreme Court and Inner House cases. Lorna will consider the approach the courts will take when interpreting commercial contracts, in particular the use that the courts can and should make of commercial common sense. The divergent approaches to this issue between different members of the Inner House will be analysed. Will Wood v Capita Insurance Services Ltd help provide some consistency in approach going forward?

Heriot Currie, QC
The requirements for the implication of a term into a detailed commercial contract.

Heriot Currie QC will discuss the recent decision of the Supreme Court on implied terms, Marks and Spencer plc v BNP Paribas Securities Services [2015 UKSC 72], and subsequent cases applying its guidance, and will analyse the requirements for the implication of a term into a detailed commercial contract.

David Welsh, Advocate

Advising on contractual construction and avoiding a negligence action: a review of the authorities.

David Welsh will provide an overview of the authorities relating to the potential liability of a solicitor when providing advice (or failing to provide advice) about contractual construction up to and including the decision of the English Court of Appeal in Balogun v Boyes Sutton and Perry.

This event is open to practising solicitors, is free of charge, and is eligible for CPD.
