Ardent Chambers and BDO Sator are proud to present their second regulatory conference to be held at the Royal Yacht on 22nd February 2018 at 2:00pm.

The theme is the Sky Atlantic Series "Billions" which features a charismatic hedge fund manager who leads his otherwise hugely successful company into conflict with the authorities.

The conference will focus on the thin line between the talented individual who constitutes the driving force of a successful business and the person who becomes so dominant that regulatory and corporate governance issues arise.

The seminar will feature a series of talks on this subject by leading experts with reference to all the latest case studies in this important area. The speakers are:
Howard Sharp QC - Crociani v Crociani: The Road to Perdition
The serious consequences that can arise when a dominant trustee is able to control a board of trustees. Mr Sharp considers how the board in this recent case before the Royal Court might have avoided being found in breach of their duties and ordered to pay £100 million in damages.
Advocate Caroline Dutot - Power Counterbalance – it’s not just about the Board
When things go wrong within an organisation, how robust service agreements, articles of association and shareholders’ agreements can limit the fallout and enable a business or board of trustees to take back control and move on. A consideration of the UK Corporate Governance Code and how weak agreements and governance documents can exacerbate or prolong the original problem.
Advocate Matthew Jowitt - Standing by is not an option
How directors and other key and principal persons who do not stand up to a rogue director may nonetheless find themselves implicated or otherwise fixed with responsibility for the conduct of the dominant individuals, with reference to short case studies.

An examination of the fine line between the driven individual who can take a business to new heights and the dominant person who can cross the line into regulatory issues.
