The IoD Centre for Corporate Governance is pleased to publicly launch a University of Bristol Law Research Paper examining the shortcomings of the UK’s company law and corporate governance system.
Written by Nina Boeger, Roseanne Russell and Charlotte Villiers, the paper discusses how the future design of the UK's corporate governance and legal framework could deliver greater sustainability.
This report investigates what a robust governance framework for companies would look like under a sustainability paradigm, and what function company law will have in this. The report presents an argument that system change for corporate sustainability requires a departure in some areas of company law from the UK’s traditionally non-interventionist and market-based system in favour of a more interventionist approach.

About the IoD Centre for Corporate Governance
The IoD Centre for Corporate Governance is a new initiative seeking to explore how companies are - and could be - run.
The Centre will commission and steer research into the pressing issues facing boardrooms as we emerge from coronavirus. Initial areas of investigation include sustainability, the feasibility of stakeholder-oriented governance, and the implications of emerging technology such as AI for board practice. As well as commissioning and steering research, the Centre also aims to showcase groundbreaking research published by others by serving as a forum for dissemination and debate.
Though set up by the business leaders’ organisation, it is an independent body encompassing a wide range of viewpoints to encourage robust debate.
