Let’s face it, nobody likes lawyers, which is why most lawyers are married to other lawyers – they are the only people who can tolerate them.

However, getting the legal basics right up front can have a profound and lasting impact on the value and prospects of your business. The demands on your limited budget can seem overwhelming, with scare stories about GDPR, director’s duties, anti-bribery, money laundering and pensions grabbing the headlines. But all of these are a side-show if you don’t fundamentally establish your business correctly, protect your assets, hedge your risks and secure the funding to grow.

Our experienced team will guide you through some of these issues and make you question whether you are adequately protected against the risks which, whilst not trendy or current, affect hundreds of new and more established business, sometimes terminally.

Who is it for?

Anyone who is responsible for all or any part of the strategic direction of a business, finances, IP and commercial contracts.

What you will cover

This session is in three parts (so you don’t have to listen to the same lawyer for the whole time). We will speak to our specialisms and experience.

Part 1 – Guiding you through the investment process. An introduction to funding options and how to attract investment, what the process involves including what an investor will want and what an entrepreneur should protect and seek to achieve.

Part 2 - Best Practice and Common Mistakes. A light-hearted look at lessons learned across our firm from working with entrepreneurs, start-ups and tech businesses through a series of anecdotes, observations and near misses!

Part 3 – Choice of business vehicle and incentivisation. An overview of the different business vehicles available and a look at the importance of structuring share capital and incentivisation schemes early on from a tax perspective.

About the Presenters

Andrea Cropley is a partner in the Manchester Corporate team with a broad experience of working for companies at all levels of their development.

Giles Chesher is a partner and head of the Manchester Corporate team. After 17 years at the same firm he truly believes his captors love and care for him……. Giles works with a range of corporates from SME’s to FTSE 250 plcs, with investors, banks and management teams on the full spectrum of corporate transactions, with a particular focus on venture capital and private equity.

Victoria Murphy is an Associate in the Tax Strategy & Benefits team, and is also a Chartered Tax Adviser. Victoria works with a range of clients from corporates to individual entrepreneurs and has particular experience in designing and implementing employee incentivisation schemes and tax structuring.
