Governance and investments: A lunchtime seminar for charities

Nearly all challenges encountered by charities have their roots in governance issues which range through a broad spectrum including risk and investments.
What are the current issues?
Regulation of the sector is changing and we should be aware of the latest trends in regulation. At this seminar, we will take a look at recent developments in the sector (including some well publicised examples of failure) and how they have resulted in legislative change, and the impact that this has on current governance.

We will also be looking at trustee obligations and what they should be thinking about in the management of their portfolio as a matter of governance.

How does governance affect investments?
Clearly the starting point is the Trustee Act 2000, which allows Trustees to delegate investment management functions to an investment manager. This individual not only has the duty to meet the trustees objectives be they, performance, risk profile or investment restrictions. An additional function, is to ensure that company boards are functioning well in their role of independently overseeing activities of companies and their management. So how does this work in practice?

Adrian Maxwell, Investment Director, Rathbone Investment Management

Adrian joined Rathbones in 2004 after graduating from the University of Liverpool with an honours degree in Financial Economics. Adrian specialises in the management of portfolios for charities, as part of Rathbones charity team. Adrian is a CFA (Chartered Financial Analyst) charter holder as well as a Chartered Fellow of the Chartered Institute for Securities and Investment (CISI). Adrian Chairs the Charity Fixed Income and Collectives Committee and is a member of Rathbones group Stock Selection Committee.

Stephen Claus, Head of Charity & Social Enterprises, Brabners LLP

Stephen advises a wide range of charities and registered housing providers on charity and related issues. Stephen qualified in 1992 after a career in the Civil Service as an administrator. He worked for the Charity Commission as a legal advisor for just under 14 years and was Head of Charity with a large Birmingham practice for two years prior to joining Brabners, where he also held the post of Deputy Diocesan Registrar. Stephen was one of the original five judges appointed to the Charity Tribunal and sat as a judge part time for two years in charity law matters.
