We are happy to announce that the next edition of our European & Competition Law Speakers series will take place on Monday 21 January 2019. The event will focus on complex mergers and the lessons learnt from decisions of the Commission and judgments of the EU Courts.

Last year was a busy year for the Commission, the EU Courts and practitioners alike. The review of a surprisingly high number of complex transactions took place, including the likes of Bayer/Monsanto, Tronox/Crystal, Linde/Praxair, TMNL/Tele2 and the Commission’s reapproval of Liberty Global/Ziggo. On the other hand, the General Court partially annulled the Commission’s Lufthansa/Swiss waiver request decision and, the Court of Justice clarified the scope of the stand-still obligation in EY/KPMG.

Merger cases will soon be back in the spotlight as both Courts are reviewing a number of pending cases, including the upcoming ECJ judgment in UPS/TNT scheduled for mid-January. Moreover, the Commission’s Siemens/Alstom decision is due in early 2019, the Commission will review Fincantieri/Chantiers de l’Atlantique in the course of 2019.

Taking all of the above into account, what’s better than to start the new year with a discussion on how to handle complex merger transactions, during the notification stage and in the event of litigation?

We are honoured to have Lucia Bonova (DG Competition, European Commission) chairing and moderating the discussion, Martin Farley (Legal Service, European Commission) and Foad Hoseinian (Sullivan & Cromwell).

Lucia Bonova is a Head of Unit at DG Competition (Mergers in Transport, Post and Other Services).
Lucia featured among the 26 women at the forefront of global antitrust in ‘GCR Women in Antitrust 2016: Enforcers’. A graduate of Université Panthéon-Assas in Paris, she holds an LLM in International Business Law from McGill University.

Martin Farley is a member of the European Commission Legal Service.
Martin holds an LLB from King’s College London and an LLM in European Law from the College of Bruges and is a Fellow of the Centre of European Law, King’s College London.

Foad Hoseinian, counsel at Sullivan & Cromwell, advises on merger filing strategies across jurisdictions. Among other things, he represents UPS before the Commission and the EU Courts. Foad previously clerked with Nils Wahl at the General Court and is a member of ICN’s merger working group as well as CCBE’s permanent delegation to the Court of Justice of the EU.

  • The event will be hosted by ‎Sullivan & Cromwell, at their offices on Boulevard du Regent 35, 1000 Brussels, and will be held under Chatham House rules.

  • Doors will open at 7 pm.

  • The talk is scheduled to begin at 7:30 pm.

  • A drinks reception will follow at 8:30 pm and last until 10 pm.
