This is aimed at founders, directors and key decision makers of early stage, high growth businesses.

I’m going to present a series of pragmatic, structured and fact-based problem solving processes, so you can answer the question of: How can I recruit, retain and motivate my team when cash is tight?

This session will be unlike any you have been to before. It’s typical for a session on employee incentives to bombard you with risks, pitfalls and legal complexities, so you feel you need to pay someone else to handle this for you. I will you empower you to make the decisions yourself, based on my decade’s experience at leading international law and accounting firms (as well as being an entrepreneur myself), and advising clients at all stages from startups, through private equity backed businesses to listed global banks and manufacturers.

You will leave the session with answers to (or at least ideas on):

  • What’s the tax value of my business (ballpark figure)?
  • Where is my business in the incentive cycle?
  • Who do I need to motivate with equity?
  • How will shareholders extract value?
  • What type of plan should I create to reward my employees?
  • How much equity should I reserve for employees?
  • How much equity should I give to each individual?
  • What should the purchase price / strike price be for equity?
  • What performance conditions should I attach?
  • How should I treat leavers?
  • How should I communicate this to my team?
  • How do I make this happen?

To get the most out of this session, come prepared with:

  • Your businesses’ profit before tax for the last three years (or how ever many years you have been trading)
  • Who your key shareholders are (i.e. are they founders, other companies, individuals or funds?)
  • Which industry you operate in
  • The number of individuals and the roles of your key team members, and those you expect to need over the next year
  • A skeleton business strategy, including an exit strategy and how shareholders will extract value.

This will be a fast-paced session given the huge amount of ground we will cover. I cannot guarantee we will cover it all. I will not cover the risks, pitfalls and complexities – this session is only about solutions and how to implement them. About the speaker

Robin Hartley has more than a decade's experience helping companies of all sizes and at various stages of their development give equity to their employees in most major economies in the world. Robin's experience spans PWC, Linklaters, and other leading international law firms. Robin is a qualified solicitor specialising in employee share schemes, and has extensive experience in designing, establishinhg and administering Enterprise Management Incentive (EMI schemes), Company Share Option Plans (CSOPS), Share Incentive Plans (SIPs), Growth Share Plans (GSPs), Joint Share Ownership Plans (JSOPs), Unapproved Share Option Schemes (USOPs), Long Term Incentive Plans (LTIPs), Employee Benefit Trusts (EBTs) and Employee Ownership Trusts (EOTs). He advises founders, shareholders, remuneration committees, board members, non-executives and professional trustees on employee share schemes.
