Description

The GFM “Setting up an Alternative Investment Fund in the US” event will provide a forum for fund manager delegates to understand each of the critical steps involved to successfully bring an alternative fund to market in what remains the single largest jurisdiction (from an asset raising perspective).

For any new US fund manager, getting the planning right at the pre-launch phase can potentially make the difference between success and costly failure.

Through a series of panels, the aim of this event is to help lay out, in detail, the main considerations for start-ups, from legal structuring all the way through to divising an impactful marketing and distribution strategy.

Broadly, the day’s panels will include the following:

  • Legal and fund structure considerations: what are the main offshore structuring considerations for US managers when setting up offshore alternative fund vehicles? What are the benefits of Master/Feeder structures and when might managers first opt to have an onshore Delaware fund?
  • Regulation & Compliance – what impact will the Trump presidency have on DOL Fiduciary rule, Dodd-Frank, and what do managers need to be mindful of in terms of SEC examinations, cybersecurity scrutiny, and regulatory reporting for FATCA and Form-PF
  • Offshore Funds, Liquid Alternatives, Interval Funds: What are the main points to consider with closed-end interval funds? What turnkey solutions are available and why might someone choose an interval fund compared to a ’40 Act alternative mutual fund? To what extent does it depend on the investment strategy or the end investor? Are there cost/operational difference between offshore and onshore products?
  • Service providers – the importance of the prime broker, the fund administrator, the outsourced risk provider, the technology partner, in supporting an alternative fund.
  • Marketing & Distribution – What are the different distribution channels that start-up managers should be aware of? The importance of honing marketing communications and speaking to the right investors – role of the 3P Marketer, the Cap Intro team. What steps need to be taken to attract seed investors?
